by sites or site elements of parties not part of the Infinity Wholesale Worldwide Pte Ltd Group is not permitted. In-line linking or any other manner of
incorporating parts of this Site in sites of parties not part of the Infinity Wholesale Worldwide Pte Ltd Group is equally prohibited.
Although Infinity Wholesale Worldwide Pte Ltd is trying to avoid any
accident injury to person and property, Infinity Wholesale Worldwide Pte Ltd strictly accepts
no responsibility or liability whatsoever for any damages, interruption or
discontinuance of any or all functionality of its Site, whether the result of
actions or omissions of an entity or personnel of the Infinity Wholesale Worldwide Pte Ltd, its Holding Group or a third party. Herewith the
client also accepts that Infinity Wholesale Worldwide Pte Ltd will not be
responsible whatsoever for any items missing, damaged and lost and that
insurance if any is the sole responsibility of the client and that the client
fully indemnifies Infinity Wholesale Worldwide Pte Ltd by accepting their services.
Insurance: The Client shall indemnify Infinity Wholesale Worldwide Pte
Ltd and save it fully harmless from and against all direct, indirect or
consequential losses, costs, damages, expenses, demands, claims, suits or
other liabilities (including legal costs) of any kind or nature whatsoever
which Infinity Wholesale Worldwide Pte Ltd shall or may incur, become liable
for or suffer in any manner arising in connection with any action taken or
not taken by Infinity Wholesale Worldwide Pte Ltd in respect of this
Agreement; provided, however, that this indemnity shall not apply in respect
of such liabilities arising by reason of wilful default
on the part of service provider. This undertaking shall survive any termination
of this Agreement.
All insurance is to be paid and allowed for by client and any responsibility
for insurance lies with the client. Any further insurance, if any for
whatever matter, work or personnel for a booked and confirmed project is strictly
at sole discretion of Infinity Wholesale Worldwide Pte Ltd. Infinity Wholesale Worldwide Pte Ltd assumes that client, workers and all related parties have their own
insurance. All and any insurance are to be by client and payable by client.
This includes insurance for any service personnel, workers and supervisors attending at any type of work at any time on or off the client premises and surroundings as well as off site.
Payments: A failure by client party to make payment of any monies payable
pursuant to this Agreement, as and when payment is due, no termination of
this Agreement for any reason shall relieve or discharge the client party hereto
from any duty, obligation or liability hereunder which was accrued as of the
date of such termination.
Client party agrees that no press release or public announcement relating to
the existence or terms of this Agreement (including within the context of a
trade press or other interview or advertisement in any media) shall be issued
without the express prior written approval of Infinity Wholesale Worldwide Pte Ltd.
Force Majeure: The duties and obligations of Infinity Wholesale Worldwide Pte
Ltd hereunder may be suspended upon the occurrence and continuation of
any "Event of Force Majeure" which inhibits or prevents performance
hereunder, and for a reasonable start-up period thereafter. An "Event of
Force Majeure" shall mean any act, cause, contingency or circumstance
beyond the reasonable control of such party (whether or not reasonably
foreseeable), including, without limitation, to the extent beyond the reasonable
control of such party, any governmental action, nationalization,
expropriation, confiscation, seizure, allocation, embargo, prohibition of
import or export of goods or products, regulation, order or restriction
(whether foreign, federal or state), war (whether or not declared), civil
commotion, disobedience or unrest, insurrection, public strike, riot or
revolution, lack or shortage of, or inability to obtain, any labor,
machinery, materials, fuel, supplies or equipment from normal sources of
supply, strike, work stoppage or slowdown, lockout or other labor dispute,
fire, flood, earthquake, drought or other natural calamity, weather or damage
or destruction to plants and/or equipment, commandeering of vessels or other
carriers resulting from acts of God, or any other accident, condition, cause,
contingency or circumstances including (without limitation, acts of God)
within or without Singapore or the country affected. Infinity Wholesale Worldwide Pte Ltd shall, in any manner whatsoever, not be liable or otherwise
responsible for any delay or default in, or failure of, performance resulting
from or arising out of or in connection with any Event of Force Majeure and
no such delay, default in, or failure of, performance shall constitute a
breach by either party hereunder. As soon as reasonably possible following
the occurrence of an Event of Force Majeure, the affected party shall notify
the other party, in writing, as to the date and nature of such Event of Force
Majeure and the effects of same. If any Event of Force Majeure shall prevent
the performance of a material obligation of Infinity Wholesale Worldwide Pte Ltd
and or its service providers hereunder, and if the same shall have
continued for a period of longer than 1 year, then Infinity Wholesale Worldwide Pte Ltd hereto shall have the right to terminate this Agreement by
written notice to the other party hereto.
The client shall indemnify and hold Infinity Wholesale Worldwide Pte Ltd and
its affiliates and their respective employees, officers, agents, licencee, franchisee, attorneys,
stockholders and directors, and their respective permitted successors, franchisee, licensees and assigns (the "Indemnified Party(ies)") harmless from
and against (and shall pay as incurred) any and all claims, proceedings,
actions, damages, costs, expenses and other liabilities and losses (whether
under a theory of strict liability, or otherwise) of whatsoever kind or
nature.
Unless otherwise indicated, all dollar amounts referenced herein shall
refer to and be paid in Singapore dollars.
Should any non-material provision of this Agreement be held to be void,
invalid or inoperative, as a matter of law the remaining provisions hereof
shall not be affected and shall continue in effect as though such
unenforceable provision(s) have been deleted herefrom.
This Agreement shall be governed by and construed in accordance with the
internal Laws of Singapore, applicable to Agreements entered into and wholly
performed therein. Clients hereby consents to and submits to the jurisdiction
of Infinity Wholesale Worldwide Pte Ltd and any action or suit under this Agreement
may be brought in any Singapore Court with appropriate jurisdiction over the subject
matter established.
Infinity Wholesale Worldwide Pte Ltd shall be entitled to terminate this
Agreement at any time, upon simple notice to that effect, in the event:
That the other party commits an act of bankruptcy, within the meaning given
to that expression in the Bankruptcy Act, is declared bankrupt, becomes
insolvent or makes an assignment of all its property for the general benefit
of its creditors; or
that the other party proceeds with its dissolution or liquidation or is the
object of any procedure for its dissolution and/or liquidation; or
that the other party sells a substantial part of its assets to a third party,
unless such sale is made in favor of a related person under the laws of
Singapore; or
that the other party amalgamates with one or more corporations, unless all
the corporations involved in the amalgamations are related persons within the
meaning under the laws of Singapore.
Infinity Wholesale Worldwide Pte Ltd may, at its sole discretion, refuse to
execute any order of any party remaining unexecuted at the date of expiration
or termination of this Agreement or in case of default of any party to
fulfill any of its obligations under this Agreement.
All obligations or liabilities of the client parties accrued on the date of
expiration or termination of this Agreement shall survive such expiration or
termination. Time shall be of the essence of this Agreement
Infinity Wholesale Worldwide Pte Ltd is waiving any responsibility and cost
for delay in shipment and or provision of services and as soon as we are
advised of such in order to give client as much time as possible to make
alternate arrangements we shall inform the client. And if necessary will
expedite delivery as soon as we have received the merchandise.
Any bill of quantities (BQ) provided by Infinity Wholesale Worldwide Pte Ltd are
provided in good faith and may not be complete and any omission &
additional works shall be deemed as variation order (VO) to be billed
separately. At time of this estimate we may not have had yet access to the
site and final figure may vary.
Work progress must not be prohibited by the client or management during
normal working hours (9am-10pm) unless major demolition & spraying works
must be carried out after 10pm. Should there be any interruption by
client and/or management, Infinity Wholesale Worldwide Pte Ltd will entitle
an EOT (extension of time) and overtime charges may be applicable for the
said project works.
Any renovation fit-out deposits requirement by the management will all be
born by the client
Excluded are Security deposited to SP services Ltd for opening account,
renovation deposit payments to landlord and submissions drawing cost to
relevant authorities and government charges, authorities approval, outside
professional consultant fees, submission and endorsement cost, and if
applicable strictly to be born by client.
Unless quoted or mentioned, our quotation excludes also wall paper
(paint finish only), data works, security, door card access system, CCTV, PA,
AV system, TV, TV-brackets, voice cabling, seating, kitchen appliances,
moving/migrating of safe, IT, furniture equipment and goods and items not
mentioned and structural alteration and items not mentioned. Items NOT in
this agreement will be treated as variation orders.
Infinity Wholesale Worldwide Pte Ltd estimate/quotation are valid for 10 days and
our price are only based on the quotation provided. No timing of completion
or delivery is guaranteed and is strictly at Infinity Wholesale Worldwide Pte Ltd
discretion.
Variation in color, shape and/or grain of goods (eg. natural wood, stone and various
manufactured products) ordered must be allowed and no claims will be
entertained in respect of same.
Goods and services to strictly remain the sole property of Infinity Wholesale Worldwide Pte Ltd until full settlement of such.
Registration: In order to be registered to receive services by Infinity Wholesale Worldwide Pte Ltd, you will need to: Comply with Infinity Wholesale Worldwide Pte Ltd guidelines, policies and procedures pertaining to the registration of Infinity Wholesale Worldwide Pte Ltd users issued from time to time, including without limitation those set out in this notes below; and comply with the terms. Warranty for materials provided only shall be for 3 month from the effect upon completion of services or renovation and retention is strictly not applicable at all times.
Our scope of works are strictly based on the items described in our cost
breakdown and any items not included shall be treated as a variation and charged accordingly.
All items quoted are subject to site measurement, any variation from the
sizes or requirements shall be subject to additional cost. Where Client omits
works for a whole or part of a trade an attendance fee of 12% quoted charge
is chargeable at Infinity Wholesale Worldwide Pte Ltd discretion.
Deposit payment are nonrefundable. In case of any dispute, where either one
of parties decides not to continue, the client agrees to fully
reimburse Infinity Wholesale Worldwide Pte Ltd, within 14 days according stage of
works and/or services completed plus 12%.
Any alteration of items in the contract or any additional items, which are
not expressly provided for this contract, may not be delivered within the
completion period. The client agrees, that the completion date will be
extended accordingly to allow for such alteration or variation.
PC Sum (provisionary sum) and E (meaning estimated sum) and difference to be
charged to client according to cost of completed works. All prices are
based on Infinity Wholesale Worldwide Pte Ltd estimate at Infinity Wholesale Worldwide Pte Ltd discretion. Works/contractor appointed by client and/or MCST
shall incur a 12% surcharge payable to Infinity Wholesale Worldwide Pte Ltd for
coordination and liaison works if Infinity Wholesale Worldwide Pte Ltd has to
incorporate such in its schedule or if Infinity Wholesale Worldwide Pte Ltd had
originally quoted for any such works or material.
All items quoted are subject to Infinity Wholesale Worldwide Pte Ltd to match items,
equipment, furniture etc., as close as possible to client wishes and/or
existing and any variation from our proposed sizes or requirements shall be
subject to additional cost. Any dimension, colour or grains provided are for
your reference only and subject to actual product delivered or installed.
Prices: All Prices are in SGD otherwise specified. Infinity Wholesale Worldwide Pte Ltd reserves the
right to make changes in price and specifications. All quotation and prices
are ex-factory unless otherwise stated. Infinity Wholesale Worldwide reserves
the right to accept/reject and changes within the validation of the current
price list.
Delivery: If Infinity Wholesale Worldwide Pte Ltd becomes aware that they are unable
to meet the stipulated time of delivery or that the delay on their part is
likely to occur, Infinity Wholesale Worldwide shall notify the buyer in writing as
soon as possible. Buyer shall not be entitled to compensation or cancel the
order due to delays. Infinity Wholesale Worldwide Pte Ltd will do at its best endeavor
to keep the delivery dates but does and cannot guarantee for matters out of
its control. If mentioned Prices quoted may include transportation to
Singapore site, excluding distribution and disposal.
This terms and condition of Sale and Delivery shall apply in the absence of
written agreement to the contrary between Infinity Wholesale Worldwide Pte Ltd and the
buyer.
Liability: Infinity Wholesale Worldwide Pte Ltd shall not be liable to
you for any indirect, special or consequential loss, damage, costs, expenses
or liability suffered or incurred by you or any third party, howsoever
caused.
You shall indemnify, defend and hold harmless Infinity Wholesale Worldwide Pte
Ltd and its representatives, affiliates and service providers from and
against any consequences, claims, proceedings, actions, losses, damages,
costs (including all legal costs on an indemnity basis), liabilities or
expenses, whether foreseeable or not, resulting from or arising in connection
with any fault, act or omission by you (including but not limited your
negligence, misconduct or breach of any of these Terms).
You consent to the collection, use and disclosure of your personal data
(including contact details) by Infinity Wholesale Worldwide Pte Ltd and its
representatives, affiliates and service providers as required for the
purposes of the Service/items ordered.
Infinity Wholesale Worldwide Pte Ltd shall be entitled to exercise any of its
rights and remedies under its Terms and Conditions (including the right to withdraw,
restrict, suspend, vary or modify the Services (whether in whole or in
part)).
Miscellaneous; You agree to receive notifications (by or on behalf of Infinity Wholesale Worldwide Worldwide Pte Ltd or its service providers, subcontractors,
affiliates) in relation to Infinity Wholesale Worldwide Pte Ltd
services and/or the Infinity Wholesale Worldwide Pte Ltd Services by
(i) SMS and/or (ii) email. All notifications to be sent to you under these
Terms: by SMS will, if you have a valid mobile number registered with Infinity Wholesale Worldwide Pte Ltd, be sent to such valid mobile number (where such
notification relates to any automatic de-registration of your mobile number
or any De-Registration Request such telephone call or SMS shall be to your
alternate mobile number on record (if any)); and by email will be sent to
your valid email address registered with Infinity Wholesale Worldwide Pte Ltd, or
if you do not have an email address registered with Infinity Wholesale Worldwide Pte Ltd, to your Infinity Wholesale Worldwide Pte Ltd secured mailbox.
Infinity Wholesale Worldwide Pte Ltd reserves the right to revise charges at any
time such charges for the use of the services upon written notice to you.
Such charges or revisions shall take effect from the date stated in the
notice. Where you continue to access or use the Infinity Wholesale Worldwide Pte
Ltd services after such notification, you shall be deemed to have agreed
to and accepted such charges or revisions to such charges and terms.
The Infinity Wholesale Worldwide Pte Ltd Service is provided "as
is" and "as available". Infinity Wholesale Worldwide Pte Ltd expressly
excludes any guarantee, representation, warranty, condition, term or
undertaking of any kind, whether express or implied, statutory or otherwise,
relating to or arising from the access to or use of Infinity Wholesale Worldwide Pte Ltd Service and products or in relation to the processing of or any
other matter relating to a request to receive the service or goods. Infinity Wholesale Worldwide Pte Ltd does not represent or warrant that:
the Infinity Wholesale Worldwide Pte Ltd Service will meet your
requirements; The Infinity Wholesale Worldwide Pte Ltd Service and website
will always be available, accessible, function or inter-operate with any
network infrastructure, system or such other services as others may offer; or
your use of the Infinity Wholesale Worldwide Pte Ltd Service or
the Infinity Wholesale Worldwide Pte Ltd's processing of a request to
receive the Service will be uninterrupted, timely, secure or free of any
error, including without limitation that you will receive the Service and/or
Goods or that you will receive the Service or Goods in a timely fashion.
